Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, desktop applications, and related services provided by Celial ("Celial", "we", "us"), including the Celial desktop application (together, the "Services"). By creating an account, purchasing a subscription, or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.
1. The Services
Celial is a local-first workflow builder for AI agents: workflows are composed and executed on your own machine, using AI model providers that you configure with your own API keys. Celial provides the application, an account dashboard, and optional cloud features such as workflow sync, team workspaces, and run analytics.
2. Accounts
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase a subscription.
3. Subscriptions, billing, and taxes
Paid plans are sold as recurring subscriptions (for example, a monthly Pro plan for individuals or a per-seat Team plan with a minimum number of seats, as described on ourpricing page). Prices are shown in USD unless stated otherwise.
- Merchant of Record. Our order process is conducted by Paddle (paddle.com), our Merchant of Record. Paddle handles payment, applicable taxes, and billing support, and your purchase is also subject to Paddle's buyer terms.
- Renewal. Subscriptions renew automatically at the end of each billing period until canceled.
- Cancellation. You can cancel anytime from your dashboard; cancellation takes effect at the end of the current billing period. See ourRefund & Cancellation Policy.
- Price changes. We may change prices with advance notice; changes apply from your next billing period.
- Model usage. AI model usage runs on your own provider API keys and is billed separately by your provider. It is never included in, or billed through, your Celial subscription.
4. Your content and workflows
You retain all rights to the workflows, code, prompts, and other content you create. Workflows run locally; your repositories and provider API keys stay on your machine and are not uploaded to us. If you use cloud features (workflow sync, teams, share links), you grant us the limited license needed to store, display, and share that content as you direct — for example, sharing a workflow with your team makes it visible to that team's members.
5. Acceptable use
You agree not to:
- use the Services to violate any law or the rights of others;
- distribute malware or content that is unlawful, infringing, or deceptive through sharing features;
- attempt to gain unauthorized access to the Services, other accounts, or our infrastructure;
- resell, sublicense, or provide the Services to third parties except as your plan allows;
- circumvent seat limits, plan limits, or technical restrictions.
6. Intellectual property
The Services — including the Celial desktop application, this website, and our branding — are owned by Celial and protected by intellectual-property laws. Subject to these Terms and an active subscription where required, we grant you a limited, non-exclusive, non-transferable license to use the application for your internal purposes.
7. Third-party services
The Services interoperate with third-party services you choose to connect (such as AI model providers, GitHub, Slack, or Linear). Your use of those services is governed by their own terms, and you are responsible for the credentials and permissions you grant them.
8. Disclaimer of warranties
The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI agents can produce incorrect or unexpected output; you are responsible for reviewing the results of workflows — including any code changes or pull requests they produce — before relying on them.
9. Limitation of liability
To the maximum extent permitted by law, Celial will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to the Services. Our aggregate liability for all claims will not exceed the amounts you paid us in the twelve months before the claim arose.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, with notice where practicable. Sections that by their nature should survive termination (including 4, 6, 8, 9, and 11) survive.
11. Governing law
These Terms are governed by the laws of Israel, without regard to conflict-of-law rules, and disputes are subject to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel. Nothing in this section limits any consumer rights you hold under the mandatory laws of your country of residence.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced on this page (and by email for significant changes affecting paid plans) before they take effect. Continued use of the Services after changes take effect constitutes acceptance.
